3. Pricing and Payment

  • The price of the Service shall be as specified in the purchase order. Any additional charges must be approved in advance by the Buyer.
  • Payment terms are net 30 days from the date of receipt of the Service, unless otherwise specified in the purchase order.
  • Invoices must be submitted promptly after delivery or receipt of the Service, and must reference the corresponding purchase order number.

4. Purchase Protection

  • -BALANCE warrants that the Service provided shall be of satisfactory quality, fit for their intended purpose, and conform to any specifications provided by you.
  • You must promptly report any defects, discrepancies, or non-conformities discovered to BALANCE.
  • BALANCE shall be responsible for remedying any defects or deficiencies in the Service, either through repair, replacement, or refund, at BALANCE’s discretion.
  • You retain the right to seek recourse for damages or losses resulting from BALANCE’s failure to comply with the terms of the purchase.

5. Intellectual Property Rights

  • All content, trademarks, and intellectual property rights related to the Service are owned by BALANCE or its licensors.
  • You may not use, reproduce, modify, or distribute any content from the Service without the prior written consent of BALANCE.
  • BALANCE grants you a non-exclusive license to use any intellectual property necessary for the intended purpose of the purchased Service.

6. Privacy Policy

Your use of the Service is subject to BALANCE’s Privacy Policy, which governs the collection and use of your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

7. Limitation of Liability

  • BALANCE shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service.
  • In no event shall the BALANCE’s total liability to you for all claims arising out of or relating to the Service exceed the amount paid by you, if any, for accessing or using the Service.

8. Termination

Either party may terminate the purchase order for material breach by the other party, subject to written notice and a reasonable opportunity to cure the breach.

9. Indemnification

You agree to indemnify and hold harmless BALANCE, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of or relating to your use of the Service or violation of these terms and conditions.

10. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of England & Wales, without regard to its conflict of law provisions.

11. Acceptance of Purchase Order

  • All purchase orders issued by the Buyer are subject to these terms and conditions. Acceptance of a purchase order constitutes acceptance of these terms and conditions by BALANCE.
  • By proceeding with the purchase, you acknowledge having read, understood, and agreed to be bound by these terms and conditions.

12. Changes to Terms and Conditions

BALANCE reserves the right to modify or replace these terms and conditions at any time. Any changes will be effective immediately upon posting on the Service. Your continued use of the Service after any such changes constitutes acceptance of the modified terms and conditions.
